Loyalty Program Terms and Conditions

THESE TERMS AND CONDITIONS CONTAIN A MANDATORY ARBITRATION OF DISPUTES PROVISION THAT REQUIRES USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

Participation in the HTG Supply Loyalty program constitutes your acceptance of these Terms and Conditions. If you do not agree to all of these terms and conditions, you cannot participate in the Program.

Eligibility

Membership in the HTG Supply Loyalty Program (or the “Program”) is open to individual U.S. residents of the 50 States, who are at least 18 years of age, who provide and maintain a valid e-mail address. By joining the Program, you represent that you are at least 18 years of age or older. Resellers and business accounts are not eligible to participate in the Program.

Participation in the Program constitutes a member’s full and unconditional agreement with these Terms, which are final and binding in all matters related to the Program. Each member must register on his/her own behalf. Any registration submitted on behalf of another individual or using another person’s telephone number or email address will be terminated.

How to Join

Enrollment in the Program can be completed at any HTG Supply retail location. Tell your cashier at checkout that you would like to enroll in the HTG Supply Loyalty Program, give them your email address, and the cashier will provide you with your membership card.

Earning Points

After account activation, you can start earning points when you present your HTG Supply Loyalty membership card for qualifying purchases made at any HTG Supply retail location (online purchases excluded).

• Qualifying purchases are merchandise purchases sold at the item base price excluding sales tax and applicable shipping (subject to certain exclusions and limitations as outlined in the Exclusions and Purchase Restrictions section below). Base price is defined as the established regular price of the merchandise not subject to any promotions, discounts, markdowns, sales or special pricing programs. Merchandise purchases made for less than the base price do not qualify.
• For each dollar spent on qualifying purchases, you will earn 1 point.
• Any individual purchase can only be applied once towards earning points.
• Points earned for qualifying purchases will be added to your account immediately, but no later than within 24 hours of your purchase date. In the event of system unavailability or other technical difficulty the points will be added upon resolution of the technical challenge. The timing for issuing points is subject to change.
• Point Recovery – If at the time of purchase, you do not have your membership card, you can provide your email address to the cashier to receive credit for your purchase. If you did not present your Loyalty card or email at the time of purchase, you may receive credit for your purchase within 30 days of the original transaction by contacting the system administrator at [email protected]. You must be able to provide a copy of the transaction receipt, or no points can be recovered.
• Checking Points Balance – You may check your points balance at any time by visiting your local retail location and requesting a printout at the checkout counter or by calling Customer Service at 1-866-710-4769.

Redeeming Points

Points can be redeemed on the purchase of qualifying merchandise at any HTG Supply retail location by presenting your loyalty card at the time of checkout. Qualifying merchandise includes select AgroMax, Digital Greenhouse, GrowBright, and HTG Supply brand products. The Program reserves the right to change qualifying merchandise as well as the point redemption rate at any time without prior notification. Points cannot be redeemed toward the same purchase on which they were earned. Points cannot be redeemed for gift cards, gift certificates, store credit, sales tax, prior purchases, or services including but not limited to shipping or extended warranties. Points are never redeemable for cash, and have no direct cash value. Members must redeem points prior to the expiration date stated as outlined in the Expiration of Points section below.

Expiration of Points

Loyalty points earned prior to 01/01/2023 will expire 06/30/2023. Loyalty points earned after 01/01/2023 will expire at the end of the twelfth full month from the date they were earned. For example, points earned on a December 10, 2023 purchase will expire on December 31, 2024. The Program reserves the right to change the points expiration date at any time without prior notification.

Exclusions and Purchase Restrictions

Points will not be earned for shipping charges or taxes, including without limitation, federal, state, and local taxes or use tax. Points are not earned on the purchase of gift cards or gift certificates. Points will not be earned for purchases made online. Products including but not limited to the following are not qualified to earn points: Trimming Machines, Buckers, Air Conditioning Units, Extraction Systems/Supplies, Electronic Dosing Systems, and CropKing Brand Products. The Program reserves the right to change purchase exclusions at any time without prior notification.

Additional Program Details

Points cannot be sold or in any way transferred to other Card accounts, people, or organizations. In situations involving misuse of the Program, we specifically reserve the right to freeze or terminate any memberships or related memberships and stop future redemption of rewards issued from those accounts. HTG Supply reserves the right to terminate your membership for any reason or no reason, in its sole discretion.

Ineligible Participants

The Program is open to individuals only. Only one card and account per natural person. Organizations, groups and business entities are excluded from participation. Merchandise resellers are specifically excluded from the Program. If in the sole discretion of HTG Supply it is determined that you purchased items for resale, we reserve the right to: (i) not award points, (ii) deduct improperly awarded points, (iii) terminate a membership, and (iv) decline to open any future Loyalty Program memberships for people associated with such activity.

Communications

Communications about the Program, including any changes, will be communicated by e-mail or on HTGSupply.com. You specifically agree to provide and maintain a valid e-mail address and to keep HTG Supply informed of any changes to your e-mail address. Any significant changes to the Program will be reflected in these Terms and Conditions 30 days prior to the effective date.

You agree to receive communications about the Program, as well as advertising and marketing material from HTG Supply. All Information submitted may be used for marketing and other promotional purposes. As a member of our program, you may receive both informational and promotional communications from us. If you do not wish to receive promotional materials via email, you may opt-out from receiving these at any time using the unsubscribe links provided in our email communications. Click here to review our full Privacy Policy. Collection and use of personal information collected in the Program will be in accordance with HTG Supply’s Privacy Policy as posted on HTGSupply.com.

HTG Supply may, at any time, modify the Program Terms & Conditions by posting the modified Terms at HTGSupply.com. The current set of posted Terms & Conditions as modified shall apply retroactively to all participants in the Program, regardless of when they signed up or begin participating in the Program.

General Information

HTG Supply is not responsible for errors in the Program. By participating in the Program, members agree to release and hold harmless HTG Supply and its parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers, and directors, from any and all liability for loss, harm, or damage which may occur in connection with preparation for, or participation in, the Program, and for any claims or causes of action based on publicity rights, defamation, or invasion of privacy. Members acknowledge that HTG Supply has made no warranties, representations or guarantees, express or implied, in fact or in law in relation to this Program.

DISPUTE RESOLUTION & ARBITRATION

IMPORTANT: PLEASE REVIEW THE ARBITRATION PROVISION SET FORTH BELOW CAREFULLY, AS IT WILL REQUIRE YOU TO RESOLVE DISPUTES WITH HTG SUPPLY ON AN INDIVIDUAL BASIS THROUGH FINAL AND BINDING ARBITRATION. BY ENTERING THIS AGREEMENT, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS OF THIS AGREEMENT AND HAVE TAKEN TIME TO CONSIDER THE CONSEQUENCES OF THIS IMPORTANT DECISION.

All issues or questions concerning the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of members or HTG Supply in connection with the Program, are governed by the laws and regulations of the State of Pennsylvania, without giving effect to any Pennsylvania choice of law or conflicts of law Terms. You agree that if you have a dispute with HTG Supply about the Program, you will try to resolve the dispute through negotiation with HTG Supply. If agreement cannot be reached after negotiation, you agree to seek resolution through binding arbitration in the State of Pennsylvania. By entering the Program, all participants consent to the jurisdiction of the State of Pennsylvania. The Program is subject to all applicable federal, state, and local laws and regulations.

If for any reason, the Program is not capable of running as planned, due to infection by computer virus, malware, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of HTG Supply, which corrupts or affects the administration, security, integrity or proper conduct of the Program, HTG Supply reserves the right, at its sole discretion, to disqualify any individual who tampers with the point accumulation process (as applicable), and/or to cancel, terminate, modify or suspend the Program in whole or in part, at any time, without notice and to void all points and rewards. Points are not your property. You acknowledge and agree that you have no ownership rights in points or your Loyalty membership. HTG Supply assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, registrations. HTG Supply is not responsible for any problems with or technical malfunction of any telephone network or telephone lines, on-line systems, servers, or providers. Sponsor disclaims all liability for the inability of an individual to complete or continue a registration due to equipment malfunction, busy lines, inadvertent disconnections, acts beyond HTG Supply’s control, or otherwise. CAUTION: ANY ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, HTG SUPPLY RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE EXTENT PERMITTED BY LAW.
